Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Archon Agents website and platform (“Services”), operated by BMI Studios LLC (“BMI Studios,” “we,” “us”). By accessing the Services you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. Where you and BMI Studios have signed a separate master services agreement or order form, that agreement controls over any conflict with these Terms.

Services

Archon provides a managed AI workforce and creative production platform, including orchestration of specialist agents, model routing, approval workflows, and related professional services. Specific features, scope, and service levels are defined in the order form, subscription, or statement of work agreed between you and BMI Studios. We may update, improve, or modify the Services over time.

Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. You must provide accurate information and keep it current.

Acceptable use

You agree not to, and not to permit others to, use the Services to:

• violate any law or regulation, or infringe the intellectual property, privacy, or other rights of any party;
• generate or distribute unlawful, harmful, deceptive, harassing, or abusive content, or material that sexually exploits or endangers minors;
• develop or operate weapons, critical-infrastructure attacks, or other high-risk activities without appropriate authorization and safeguards;
• attempt to gain unauthorized access to systems or data, probe or breach security, or interfere with the integrity or performance of the Services;
• reverse engineer the Services except to the extent permitted by law, or resell or provide the Services to third parties except as agreed;
• misrepresent AI-generated output as human-generated where doing so is deceptive or unlawful.

We may investigate and take appropriate action, including suspension or termination, for violations.

Customer content and authorizations

You retain ownership of the data, credentials, and content you connect to the Services (“Customer Content”). You grant BMI Studios a limited license to process Customer Content solely to provide and operate the Services. You are responsible for ensuring you have the rights and permissions necessary to connect any systems, accounts, or data, and for the actions you authorize agents to take.

AI outputs and data use

Archon includes human-in-the-loop controls for consequential, outbound actions. AI-generated outputs may be inaccurate or incomplete and should be reviewed before reliance; you are responsible for your use of outputs and for approvals you grant. We do not use your Customer Content to train third-party foundation models. As between the parties, you own outputs generated for you to the extent permitted by law and the applicable model providers’ terms.

Beta and early-access features

We may offer features identified as beta, preview, or early access. These are provided “as is,” may be changed or discontinued, and are excluded from any service commitments. Use them at your discretion.

Feedback

If you provide suggestions or feedback about the Services, you grant BMI Studios a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

Fees and payment

Fees, billing frequency, and payment terms are set out in your order form or subscription. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and due according to the agreed schedule. Late or failed payments may result in suspension.

Intellectual property

BMI Studios and its licensors retain all rights in the Services, including software, documentation, and trademarks. These Terms grant no rights in our intellectual property except the limited right to use the Services as agreed.

Third-party services

The Services may integrate with third-party models, platforms, and APIs. Your use of those third-party services is governed by their own terms, and we are not responsible for their availability, performance, or practices.

Confidentiality

Each party may receive confidential information of the other and agrees to use it only to perform under these Terms and to protect it with reasonable care.

Disclaimers

Except as expressly stated in a signed agreement, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy or reliability of AI outputs.

Limitation of liability

To the maximum extent permitted by law, BMI Studios will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our aggregate liability arising out of or relating to the Services will not exceed the amounts paid by you to BMI Studios for the Services in the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless BMI Studios from third-party claims, damages, and expenses arising from your Customer Content, your use of the Services in violation of these Terms or law, or actions you authorized agents to take.

Term, suspension, and termination

Either party may terminate as provided in the applicable agreement. We may suspend or terminate access for material breach, non-payment, security risk, or to comply with law. Provisions that by their nature should survive termination will survive.

Export controls and sanctions

You represent that you are not located in, and will not use the Services in, any jurisdiction subject to comprehensive sanctions, and that you are not a restricted or denied party under applicable export-control and sanctions laws.

Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including acts of God, outages, network or provider failures, or government action.

Governing law and disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Clark County, Nevada, unless otherwise required by law.

General

You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. These Terms, together with any order form, DPA, and policies referenced here, are the entire agreement between the parties regarding the Services.
